These terms are the agreement between your office and the seller of UpBeep. They are written to be read. The parts in capital letters matter most: please read them.
1. Who we are
UpBeep is made and sold by Adam K Goodwin, a sole proprietor doing business as UpBeep ("we", "us"), of 122 Upola Court, Bastrop, Texas 78602. "You" and "your office" mean the business for which these terms are accepted.

UpBeep is software for paging, messaging and tasks among the staff of an office, over the office's own network. Where the "Messages away from the office" feature is switched on, messages for phones away from the office (and, where available, task notices) travel through our relay. It does not send text messages (SMS) or place phone calls.
2. Accepting these terms
How you accept. The first time UpBeep is set up for an office on a Windows computer, the person setting it up sees an unticked box: "I have read and agree to the UpBeep Terms of Service for this office." UpBeep can't be set up until the box is ticked. The same box appears on our Buy page before checkout. Ticking it means your office agrees to these terms.
Authority. The person who ticks the box confirms they are allowed to accept these terms for the office.
For businesses only. You confirm that your office is a business, such as a dental or medical office, and that it is getting UpBeep for its business, not for personal, family or household use.
For US offices only. UpBeep is offered only to businesses located in the United States, for use there. If an office outside the United States subscribes, we may cancel the subscription and have the payment refunded.
Our record. When the box is ticked, UpBeep records which version of these terms was accepted, when, and on which computer. The computer is identified by a random identifier, not a name.
Phones and watches. Staff who use UpBeep on phones and watches do so under your office's acceptance. Your office is responsible for making sure its staff follow these terms.
What else applies. Our refund rules are in section 7. Our Privacy Notice explains what information leaves your office. It's there for your information; ticking the box is not consent to it.
3. Paddle is our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
In practice:
You buy your UpBeep subscription from Paddle, under Paddle's Buyer Terms. Paddle takes payment, adds sales tax where it applies, sends receipts and invoices, and handles cancellations, refunds and payment disputes.
These terms cover your office's licence to use UpBeep itself. For help with using UpBeep, email us at support@upbeep.app.
If these terms and Paddle's Buyer Terms disagree about payment, tax, invoices, cancellation or refunds, Paddle's Buyer Terms apply. On everything else, these terms apply.
Paddle's Buyer Terms have their own governing law for your purchase from Paddle. Section 23 covers only your office's relationship with us.
4. Your licence
What you get. While your office has an active trial or paid subscription, we give your office a limited, non-exclusive, non-transferable licence to install and use UpBeep on the computers, phones and watches at one office location, for your office's own internal business use. You may not sublicense it.
One office = one location. One subscription covers one physical location, with its computers, phones and watches on that location's network. It covers every computer, phone and watch there. Each other location, even of the same practice, needs its own subscription.
Phone and watch apps. The iPhone, Apple Watch and Android apps (and the Wear OS app, when available) are free from the app stores and unlock with your office's subscription. Nothing is sold inside them.
What you may not do. You may not:
resell, rent, lend or share UpBeep with another office or location;
copy it beyond installing it as these terms allow;
modify, decompile or reverse engineer it, except where the law allows despite this limit;
get around its licence check, trial clock, usage limits or security;
remove its notices;
use it to build a competing product.
Ownership. We own UpBeep: its software, name, guide and videos. Except for the licence above, these terms give you no rights in them. Open-source parts of UpBeep are licensed under their own licences, which are listed in the app.
Suggestions. If you send us ideas or feedback, we may use them freely.
5. Free trial
A new office can use UpBeep free for 14 days, counted from the day its first computer sets it up. No card is needed.
Each office gets one trial.
If the trial ends without a subscription, UpBeep stops, as section 8 describes.
These terms, including sections 12 to 18, apply during the trial.
6. Subscription, price and automatic renewal
AUTOMATIC RENEWAL: YOUR SUBSCRIPTION RENEWS AUTOMATICALLY UNTIL YOU CANCEL.
Monthly plan: $10 per month. It renews every month, for another month.
Yearly plan: $100 per year. It renews every year, for another year.
Sales tax is added where it applies. At the start of each renewal period, Paddle charges the payment method on file.
Price changes: we won't raise the price of your existing subscription without emailing you at least 30 days before the renewal at which the new price would apply. You can cancel before then. Founding offices keep their price, as described below.
How to cancel: at any time, in Paddle's customer portal (linked from every Paddle receipt and email), or by emailing support@upbeep.app. There is no notice period and no fee.
Deadline: to avoid being charged for the next period, cancel before your next billing date. That date is shown in your latest Paddle receipt and in Paddle's portal. If you're charged anyway, you can ask for that payment back within 14 days (section 7).
Reminder: for yearly plans, we'll email you 15 to 30 days before each renewal, with the date, the price and how to cancel.
When you cancel: UpBeep stays on until the end of the period you've paid for, and you aren't charged again.
Founding-office price. If your office subscribes while the price is $10 a month or $100 a year, you keep that price for as long as your subscription continues without a break. If your subscription ends, a new subscription is at the price in effect at that time.
Failed payments. If a renewal payment fails, Paddle retries it and emails you for up to 30 days. If the retries also fail, your subscription ends, and UpBeep stops as section 8 describes.
7. Refunds
The free trial costs nothing and needs no card, so there's nothing to refund.
Within 14 days of any payment, ask and that payment is refunded in full. This covers the first payment and every renewal, monthly or yearly. No reason is needed.
After 14 days, payments aren't refunded, except where Paddle or the law requires it (for example, an error, fraud or a payment dispute).
Cancelling. You can cancel at any time (section 6). It takes effect at the end of the period you've paid for: UpBeep stays on until then, and you aren't charged again.
A refund ends the subscription. After a refund, the licence for that period ends and UpBeep stops, as section 8 describes. A new subscription is at the price in effect at that time.
How to ask. Email support@upbeep.app, or reply to your Paddle receipt, from the email address you bought with. You can also contact Paddle through the link in your receipt.
Paddle handles refunds. Paddle issues refunds on our behalf, back to the way you paid. How long it takes to show depends on your bank or card issuer. Paddle also handles payment disputes (chargebacks), but please contact us first: we can usually sort it out faster.
Your legal rights. Nothing in this section takes away a right the law gives you.
8. When UpBeep stops
WHEN A TRIAL OR SUBSCRIPTION ENDS, UPBEEP STOPS COMPLETELY ON ALL OF YOUR OFFICE'S COMPUTERS, PHONES AND WATCHES, INCLUDING EMERGENCY PAGING.
When it stops. UpBeep stops when:
a trial ends without a subscription;
a cancelled subscription reaches the end of its paid period;
a payment fails and Paddle's retries also fail;
a payment is refunded or reversed;
we end your office's use under section 20.
Warning first. Before it stops, the app warns your office on its computers. It says why UpBeep will stop and how to subscribe or renew. It stops at a quiet moment (at its next start, or overnight), and never while a page is waiting.
The licence check-in. Your office's computers confirm the subscription with our licence service over the internet. One computer doing this covers the whole office, so at least one office computer must reach the internet regularly.
If no computer has confirmed a renewal by the end of a paid period, UpBeep stops then, even if the payment went through.
It warns every day beforehand when it can't get through, and it works again once a computer connects and confirms the renewal.
There is no grace period.
After it stops. UpBeep makes no update checks and sends no notices to phones. Your office's information stays on your own computers. We don't delete it and we don't hold it. UpBeep works with it again if your office subscribes again.
Plan for it. Before a trial or subscription ends, make sure your office has another way to call for help.
9. Your office's information
Stored by your office, not by us. UpBeep keeps your office's pages, messages, tasks, office calendar, people's names, notes and office map on your own computers and phones. We don't hold them or back them up, so keep your own copies of anything you need. (Where the feature is switched on, our relay holds sealed messages for a phone away from the office only until they're delivered, deletes them after a few days at most, and can't read them.)
What leaves your office. Some things do leave your office. Our Privacy Notice lists each one and what it carries:
notices that wake a locked phone (page notices are readable by our push server, and on an iPhone by Apple; message notices, task notices where available, and every notice to an Android phone are sealed);
where the feature is switched on, messages for phones away from the office (and, where available, task notices), which travel sealed through our relay on Amazon Web Services and are held only until delivered, then deleted after a few days at most;
the licence check-in;
dictation by Apple, Google or a watch's maker;
update checks and optional downloads;
Paddle checkout;
anything your office chooses to send us.
How we use what reaches us. We use information that reaches us only to provide, secure and support UpBeep, as your office instructs and as the Privacy Notice describes. We don't sell it, and we don't use it for advertising.
Your responsibilities. Your office is responsible for:
what it and its staff enter into UpBeep, and for having the right to enter it;
everything sent from its computers, phones and watches, including shared computers that send as a room or station;
who it lets use them.
Office password. Without one, other devices on your office's network can read the UpBeep traffic between your computers. We recommend setting one. Sealed message notices, notices to Android phones, and messages away from the office all need one.
10. Patient information
UpBeep is built for rooms and roles, not patients.
UPBEEP IS NOT DESIGNED OR INTENDED FOR PATIENT INFORMATION, INCLUDING "PROTECTED HEALTH INFORMATION" UNDER HIPAA. YOUR OFFICE AGREES NOT TO ENTER, SEND OR STORE IN UPBEEP ANYTHING THAT COULD IDENTIFY A PATIENT.
What your office agrees to. When it sets up UpBeep, your office confirms, in a separate box it must tick, that it won't put anything that could identify a patient anywhere in UpBeep. That means no patient names, initials with other details, birth dates, chart or record numbers, phone numbers, addresses, photos, or health, treatment or payment details that point to a particular patient. It covers every part of UpBeep:
pages, page names, room names, and reminder and timer names;
messages, replies, reactions, notes and voice messages;
tasks, task and list names, task comments, and the office calendar;
the names of people in UpBeep (staff only; never add a patient as a "person");
dictated replies on a watch.
Refer to patients without identifying them, for example "Op 3 is ready" or "your 2:00 is here", never "Mrs. Garcia in Op 3".
Your office makes sure its staff follow this. Your office is responsible for telling everyone who uses UpBeep about this rule, and for what its staff enter.
No BAA and no HIPAA claim. We don't offer or sign a business associate agreement (BAA), and we make no claim that UpBeep is HIPAA compliant. Because UpBeep isn't meant to hold patient information, we don't act as your office's business associate. Your office is responsible for its own compliance with HIPAA and other privacy laws, including its policies, training and risk analysis.
Why it matters. Some parts of UpBeep leave your office in readable form, to our servers, Apple or Google: room, page and reminder names in page notices to locked phones, and dictated replies. Messages for phones away from the office and message notices to locked phones (and, where available, task notices) travel sealed, so neither our servers nor Apple nor Google can read them, but they still leave your office's network. The rule applies everywhere regardless, so your office never has to decide which parts are safe.
If your office needs a BAA. If your office needs to send patient information to its staff, UpBeep isn't the right tool for that. Use a system your office has a BAA for.
If it reaches us anyway. If patient information reaches us despite this rule, we may delete it, and we may turn off features for your office. Your office's indemnity in section 18 covers claims that arise from patient information entered in breach of this section.
11. Acceptable use
Your office will not, and will not let anyone else:
put patient information where section 10 says not to;
use UpBeep for anything unlawful, or to harass or threaten anyone;
connect UpBeep to, or use it to pass on, alarms or data from medical devices, patient monitors, nurse-call systems, or fire or security alarm systems;
use UpBeep as an emergency call system, a fire alarm or an employee alarm system (see section 12);
try to get around UpBeep's licence check, trial, limits or security, or probe, overload or attack our servers;
use UpBeep in breach of section 19 (export and sanctions);
use UpBeep at another location without that location's own subscription.
If your office breaks these rules, we may suspend a feature (such as notices to phones, or messages away from the office) or end your office's use under section 20. We'll tell you why where we can.
12. EMERGENCY PAGING, 911, AND "WE ARE NOT AN INSURER"
UPBEEP IS NOT AN EMERGENCY SERVICE. EMERGENCY PAGING ALERTS ONLY YOUR OFFICE'S OWN UPBEEP COMPUTERS, PHONES AND WATCHES. IT DOES NOT CALL 911 OR ANY EMERGENCY SERVICE. IT IS NOT A FIRE ALARM, AN EMPLOYEE ALARM SYSTEM UNDER OSHA, A NURSE-CALL SYSTEM OR A PATIENT-MONITORING SYSTEM, AND IT IS NOT DESIGNED OR APPROVED FOR THOSE USES.
Emergency, like every page, can fail to arrive or arrive late. It needs:
power, your office's network, and UpBeep running on your office's computers;
for a locked iPhone, the internet, our push server and Apple;
for a locked Android phone, the internet, our push server, Google, and an office password.
It also has these limits:
An iPhone set to silent may not sound for Emergency.
Phones that are away from the office don't get pages.
UpBeep stops when a trial or subscription ends (section 8).
Keep your usual emergency plan, and another way to call for help. In an emergency, call 911 directly.
WE ARE NOT AN INSURER. OUR FEES ARE BASED ON THE VALUE OF THE SOFTWARE, NOT ON THE VALUE OF ANY PERSON, PROPERTY OR BUSINESS. WE DO NOT PROMISE THAT ANY PAGE, MESSAGE OR NOTICE WILL ARRIVE, OR ARRIVE ON TIME. YOUR OFFICE (AND ITS INSURERS) REMAIN RESPONSIBLE FOR THE SAFETY OF ITS PATIENTS, STAFF AND PROPERTY.
13. Not a medical device
UpBeep is software for administrative communication among staff, and every page is sent by a person. It is not a medical device. It is not intended to diagnose, treat, monitor or prevent any disease or condition. It is not cleared or approved by the FDA for any purpose. It must never be used to relay alarms from patient monitors or other medical devices, or to send pages triggered by device data.
14. Other companies' services
UpBeep relies on services that we don't control, and they have their own terms:
Apple and Google (the app stores, push notices to iPhones and Android phones, dictation, YouTube);
Paddle (sales);
Amazon Web Services (our servers, including our push server and relay);
GitHub (updates);
Hugging Face (the optional speech model).
Dictation is always available when replying on an Apple Watch, and on a Wear OS watch (such as a Samsung Galaxy watch) that shows an Android phone's notifications. When someone dictates a reply, Apple (on an Apple Watch), or Google or the watch's maker (on a Wear OS watch), turns the speech into text. We never receive the audio. Don't dictate patient information.
These services can change or fail. We aren't responsible for them, but we choose them carefully and will tell you in the Privacy Notice if we change who handles your office's data.
15. Updates and changes to UpBeep
We improve UpBeep through updates.
Computers: your office chooses when to install updates on its computers.
Phones and watches: the apps update through their app stores.
We may change or remove features. You can cancel at any time.
We may stop supporting old versions, so please keep UpBeep up to date.
16. NO WARRANTIES
UPBEEP, INCLUDING THE TRIAL, EMERGENCY PAGING, TASKS AND REMINDERS, NOTICES TO PHONES AND WATCHES, AND DELIVERY TO PHONES AWAY FROM THE OFFICE, IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT UPBEEP WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY PAGE, MESSAGE, TASK REMINDER OR NOTICE WILL BE DELIVERED OR DELIVERED ON TIME.
In plain words: we work hard to make every page arrive, but networks, computers, phones and outside services can fail.
17. LIMITS ON OUR LIABILITY
(a) NO INDIRECT DAMAGES. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER WE NOR OUR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, INCLUDING ANY DAMAGES ARISING FROM A PAGE, MESSAGE OR NOTICE THAT IS MISSED, DELAYED, NOT DELIVERED OR DELIVERED WRONGLY, OR FROM UPBEEP STOPPING AT THE END OF A TRIAL OR SUBSCRIPTION, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
(b) A CAP. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO UPBEEP OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, WILL NOT EXCEED THE GREATER OF (1) THE FEES YOUR OFFICE PAID FOR UPBEEP IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, AND (2) US $100.
(c) YOUR REMEDY. IF UPBEEP DOESN'T WORK AS THESE TERMS DESCRIBE, YOUR EXCLUSIVE REMEDY IS TO TELL US SO THAT WE CAN TRY TO FIX IT, AND, IF WE CAN'T WITHIN A REASONABLE TIME, TO CANCEL AND RECEIVE A REFUND OR CREDIT OF THE FEES PAID FOR THE PERIOD IN WHICH IT DIDN'T WORK. PARTS (a) AND (b) APPLY EVEN IF THIS REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
(d) WHAT ISN'T LIMITED. NOTHING IN THESE TERMS LIMITS ANY LIABILITY THAT THE LAW DOESN'T ALLOW TO BE LIMITED, SUCH AS LIABILITY FOR FRAUD, GROSS NEGLIGENCE OR WILFUL MISCONDUCT.
These limits are a basic part of the deal between us, and our prices depend on them. Any claim must be brought within one year after it arose, where the law allows that limit.
18. Your office's promise to protect us (indemnity)
Your office will defend us and hold us harmless against any claim brought by someone else (including a patient, a member of staff or a government agency), and will pay the resulting losses, fines, penalties and reasonable lawyers' fees, to the extent the claim arises from:
(a) content your office or its staff enter into, or send through, UpBeep, including patient information entered in breach of section 10; or
(b) your office's breach of section 10 or 11.
How a claim is handled:
We'll tell you promptly about the claim.
Your office controls the defence, with a lawyer reasonably acceptable to us.
We'll cooperate, at your office's expense.
Your office won't settle a claim in a way that admits fault for us, or requires us to pay or to do something, without our written consent.
19. Export and sanctions
UpBeep is subject to US export control and sanctions laws. You confirm that your office:
isn't located in, or controlled from, a country or region subject to a comprehensive US embargo, or in Russia or Belarus;
isn't on a US government list of restricted parties.
You won't export, re-export or give access to UpBeep in breach of those laws.
20. Ending your office's use
By you. You can cancel at any time (section 6).
By us, for a breach. We may suspend or end your office's use of UpBeep, or of a feature, if your office seriously breaches these terms.
Normally we'll email you first and give you 10 days to fix the breach.
We may act straight away where the breach is unlawful, puts patient information or other people at risk, or threatens our systems.
If we end your office's use for a breach, payments aren't refunded, except as section 7 allows.
If we stop offering UpBeep. We'll give at least 90 days' notice by email and have the unused part of any prepaid period refunded.
What happens at the end. Your office's licence ends and UpBeep stops (section 8).
What survives. Sections 4 (ownership and limits), 10 (for anything entered before the end), 12, 13 and 16 to 24 continue after the end.
21. Changes to these terms
Changes that matter to your office. We'll email subscribed offices (at the email on the Paddle account) at least 30 days before the change takes effect. We'll also show the new terms once in the app, with a box to tick and a Confirm button.
The new terms apply once someone at your office accepts them.
We won't treat continued use alone as acceptance.
If your office doesn't want the new terms, it can cancel. The terms it accepted earlier keep applying until the end of its paid period.
Small changes. We may post small changes (such as corrections, new contact details, or clarifications that don't reduce your rights) with a new date at the top.
22. Transfer
By us. We may transfer these terms to a company that takes over UpBeep, for example a company formed by Adam to run it. We'll tell you by email.
By your office. Your office may not transfer these terms without our written consent, except to a buyer of the whole practice at the same location who agrees to them.
23. Governing law and disputes
Talk to us first. If there's a problem, please email us first. We'll try to resolve it within 30 days.
Governing law. These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.
Courts. Any dispute will be heard only in the state courts located in Bastrop County, Texas, or in the federal court for that county (the United States District Court for the Western District of Texas, Austin Division), and both of us agree to those courts' jurisdiction.
Small claims. Either of us may bring an individual claim in small-claims court instead, if it qualifies.
No CISG. The UN Convention on Contracts for the International Sale of Goods doesn't apply.
24. Apple App Store terms (iPhone and Apple Watch apps)
These points apply to the UpBeep iPhone and Apple Watch apps downloaded from Apple's App Store (the "iOS app"):
Between you and us. These terms are between your office and us, not Apple. Apple is not responsible for the iOS app or its content.
Where it may be used. The licence to the iOS app is limited to use on Apple-branded products that your office's staff own or control, as allowed by the Usage Rules in Apple's Media Services Terms and Conditions. The iOS app may also be used by other accounts associated with the purchaser through Family Sharing or volume purchasing.
Support. We, not Apple, are responsible for maintenance and support of the iOS app. Apple has no obligation to provide any.
Warranty. To the extent any warranty applies and isn't disclaimed:
we, not Apple, are responsible for it;
if the iOS app fails to conform to an applicable warranty, the user may notify Apple, and Apple will refund the purchase price of the iOS app (which is free);
to the extent the law allows, Apple has no other warranty obligation for it.
Claims. We, not Apple, are responsible for addressing any claim relating to the iOS app, such as product liability claims, claims that it fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
Intellectual property. We, not Apple, are responsible for the investigation, defence, settlement and discharge of any third-party claim that the iOS app infringes that party's intellectual property rights.
Legal compliance. You confirm that the user is not located in a country subject to a US Government embargo, or designated by the US Government as "terrorist supporting", and is not on any US Government list of prohibited or restricted parties.
Our contact details. Questions, complaints and claims about the iOS app go to us, at the contact details in section 1.
Others' terms. Users must follow any third-party terms that apply when using the iOS app, such as their mobile carrier's terms.
Apple can enforce these terms. Apple and its subsidiaries are third-party beneficiaries of these terms as they relate to the iOS app. Once these terms are accepted, Apple has the right to enforce them against the user as to the iOS app.
Apps from Google Play are also subject to Google Play's terms, and Google is not responsible for them.
25. General
Whole agreement. These terms are the whole agreement between your office and us about UpBeep. Paddle's Buyer Terms cover your purchase from Paddle.
Severability and waiver. If a court finds part of these terms unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it.
Notices. We send notices by email (to the email on your Paddle account) or in the app. You send notices to support@upbeep.app. You agree to accept these terms and receive notices electronically.
Events outside our control. We aren't responsible for delays or failures caused by events outside our reasonable control, such as power or network failures, internet outages, outages at Apple, Google or Amazon Web Services, natural disasters, or government action.
Independent parties. We and your office are independent. Except as section 24 says for Apple, no one else has rights under these terms.
Interpretation. "Including" means "including without limitation". Headings are for convenience.
